Terms of Service
Please read these Terms of Service ("Terms") carefully. They govern your use of the UNILOOP platform and related services for all clinics, merchants, providers, and patients. By using our platform, you accept these terms in full.
1. Acceptance of Terms
By registering or using any part of the UNILOOP service, you agree to be bound by these Terms, our Privacy Policy, and any applicable clinic/merchant agreements or BAAs.
2. Healthcare Merchant, Provider, and Patient Responsibilities
- Merchants/Clinics: Responsible for verifying medical licensure/credentials, compliance with HIPAA and all relevant laws for patient care, and maintaining current contact info.
- Providers/Doctors: Must use the system in accordance with clinical best practices, regulatory standards, and patient consent. Maintain accurate logs and documentation.
- Patients: Responsible for providing accurate, up-to-date contact, consent, and medical info during onboarding and using services only as intended.
3. Acceptable Use & Prohibited Content
- Do not use the platform for fraudulent, abusive, illegal, or non-health-related purposes.
- No unauthorized access, attempts to probe, exploit, or disrupt the platform, data, or third-party APIs/services.
4. HIPAA, Security, and PHI Protection
UNILOOP is a US HIPAA-compliant platform. All access to patient data is logged, restricted by role, and encrypted. Merchants and providers remain the covered entities legally responsible for PHI; UNILOOP acts as a business associate with signed BAAs for all data uses.
5. Platform Availability and Account Suspension
- We strive for 99.99% uptime but cannot guarantee uninterrupted access in every case (maintenance, emergencies, force majeure).
- UNILOOP may suspend or terminate access for technical, security, legal, or compliance reasons, or for breach of these Terms.
6. Disclaimers and Limitation of Liability
UNILOOP provides technology, not medical care. Use of the platform does not constitute a doctor-patient relationship with UNILOOP. UNILOOP is not liable for merchant/provider errors, loss of data, or indirect damages beyond platform control. Use is at your own risk.
7. Indemnification
Merchants, clinics, providers, and patients agree to indemnify and hold harmless UNILOOP from claims, losses, or damages arising from misuse, breaches, or non-compliance with these Terms or applicable law.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, USA. Any disputes must be resolved in the appropriate courts of Delaware.
